These terms and conditions apply to the services available from VTH Express Ltd. Before you are using the services or become a member of this VTH Express eCommerce website, you must read and accept all of these terms and conditions in, or linked to, this Agreement. You may not use our site and services if you are under the age of 18 or you are not able to form legally binding contracts, or if your VTH Express membership has been suspended.

PLEASE READ THE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE.

1. Acceptance of Agreement. This Terms and Conditions constitutes the entire and only agreement between us and you, and supersedes all prior or existing agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site. This Agreement may be amended by us at any time and from time to time without specific notice to you. By using the website and our services, you agree to the changes we have made to these Terms and Conditions.

2. Abusing VTH Express Website. While using VTH Express Website, you will not:

• post, list or upload content or items in an inappropriate category or areas on our sites;

• breach any laws, sell any counterfeit items or otherwise infringe the copyright, trade mark or other rights of third parties;

• breach our policies including, without limitation, this Terms and Conditions.

• fail to deliver payment for items purchased by you, unless a clear error of the item's description or a clear typographical error is made, or you cannot authenticate the seller's identity;

• fail to deliver items purchased from you, unless the buyer fails to meet the stated terms in the listings, or you cannot authenticate the buyer's identity.

• post false, inaccurate, misleading, defamatory, or libellous content (including personal information);

• distribute or post spam, unsolicited or bulk electronic communications, chain letters;

• distribute viruses or any other technologies that may harm our website, or the interests or property of VTH Express customers;

• copy, modify, or distribute rights or content from our sites, services or tools or VTH Express' copyrights and trademarks; or harvest, collect information about users, including email addresses, without their consent.

3. Third-Party Services. We allow access to or advertise third-party merchant sites from which you may purchase or using certain goods or services. You understand that we do not operate or control the products or services offered by these merchants and will not be responsible or liable for any loss or damage caused by these Third-Party services.

4. Use of Information. We reserve the right, and you authorize us, to the use and assignment of all information regarding the VTH Express services used by you and all information provided by you in a consistent manner with our Privacy Policy. If you object to our Privacy Policy, please do not use our website and services.

5. Privacy Policy. We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent. We store your information in a secured computer system and use your information only for normal business activities. We may have to disclose it under some special circumstances such as obliged to by the Laws or in order to resolve a difficult dispute. We may from time to time wish to contact you with your permission to provide business information, bargains or our offers. You can access, modify or withdraw the information you provide us at any time.

6. Our Services. VTH Express Ltd offers a wide-range of services to suit all budget and requirements from the retailers and private sellers and buyers. Professional photography, Item Collection, Item Listings on eBay/Amazon or our eCommerce websites, Secured storage at VTH Express Office, Financial Transaction and Payment, Postage and Delivery handling. VTH Express Ltd has specific Rules for Sellers and Rules for Buyers as parts of this Terms and Conditions in the following sections.

7. Rules for Sellers. VTH Express Ltd offers various and flexible solutions to both small retailers and private sellers. After initial contact, we will evaluate your items and check any branded products are authentic. When a signed Agreement is reached between you and VTH Express Ltd, we will collect (where agreed) and hold your items at VTH Express secured storage. We then prepare a professional listing with quality photos and compelling descriptions for the well-known internet auctions eBay and Amazon. We also offer the same listing services on our popular eCommerce Website for some selected items. VTH Express will take the responsibility to

• Managing the auction on eBay or Amazon or our Website.

• Keeping you informed via email or link to your live auction.

• Answering and responding to the prospective bidders or buyers questions.

• Handling financial transaction from the buyer.

• Collect (where agreed) items from you and handle packaging and shipping to the buyer.

• If the buyer is satisfied and the return period is closed, VTH Express Ltd will send payment to you less our agreed fees.

VTH Express Ltd only agrees to work with the Sellers who observe and follow these rules:

• When required, we may ask the Sellers for proof of identity such as ID card, Passport, Driving licences. This requirement is for the prevention of illegal or fraudulent activities. VTH Express Ltd reserves the right to refuse or to terminate our signed Agreement immediately when there is evidence of illegal or fraudulent activities.

• When required, we may ask the Sellers for the certificate or proof of authentication for the selling items. VTH Express Ltd reserves the right to refuse or to terminate our signed Agreement immediately when there is evidence of counterfeit items.

• VTH Express Ltd agrees to work as a trading agent for the Seller. We do not buy or take the ownership of the items. The Seller is responsible for any statement regarding to the origin, date or authenticity of the selling items. All the faults or defects known to the Seller must be clearly described in our signed Agreement. Therefore, the Sellers must provide true and accurate information regarding to themselves and the selling items prior to our signed Agreement.

• Under some circumstances, depending on our flexible signed Agreement, the Seller is responsible for keeping the items and/or compiling the listings and/or packaging and delivery. In this case, VTH Express Ltd only submits the listings to the auctions or our Website as it is. In any cases, except stated otherwise, we are not liable for any loss or damage, direct or consequential loss of profit resulted from our signed Agreement.

• In the case when VTH Express takes full responsibility of the selling steps that mentioned above, it is entirely at our discretion of how we list the items, how we reserve the minimum price or starting price, except when there is a specific reserve figure that clearly agreed and stated on our signed Agreement.

• In a difficult dispute case of counterfeit good, the Seller must work in good faith to resolve a claim. If there is sufficient evidence of counterfeit good, the Seller must refund the money and/or provide a replacement of the item and accept a return of the item if required.

• If the Seller does not resolve a claim in a difficult dispute and if there is sufficient evidence of counterfeit good, the Seller agrees to pay VTH Express Ltd the amount paid by VTH Express Ltd to the buyer. Upon our request, you will pay VTH Express Ltd in full, in accordance with our request.

8. Rules for Buyers. VTH Express Ltd only agrees to work with the buyers who observe and follow these rules:

• The Buyers who bid or place an order on the eBay and Amazon websites must follow the respective Rules for Buyers from these auctions' websites.

• On VTH Express Ltd website, you cannot commit to buying items without paying.

• You must agree with the price plus packaging and postage charge. Optionally, for valuable and large items we can arrange the delivery by VTH Express Ltd. Please refer to VTH Express Postage and Delivery charges.

• If the delivery address is outside European Community, you might be liable to pay custom duties.

• If you wish to collect the paid items at VTH Express Office, there will be a charge of £1.50 for our services and packaging handling.

• Under some circumstances where the Buyer requested (and agreed by the Seller) to collect directly from the Seller, VTH Express Ltd only acts as a trading agent for the Seller. After the items' transaction is cleared, VTH Express will provide the contact details to the Buyer. The Buyer is responsible to contact the Seller for collection arrangement.

• You must warrant that, if you are purchasing any item from us or from our Sellers, (i) any credit card information you supply is true, correct and complete; (ii) charges incurred by you will be paid by your credit card company; and (iii) you will pay the charges incurred by you at the posted prices, including any shipping fees and applicable taxes; (iv) Payment must be received or cleared within 7 days of the close of auction on eBay/Amazon or on our eCommerce website. Our preference of payment methods is PayPal, but we accept cash, personal or bank cheques, particularly for collection at our premises.

• If you have won items that have been specified as collection-only, the items must be collected within 7 days of the close of the auction. If you failed to collect within the period of 7 days, a storage charge will apply at £10 per day without exception.

• The Return Period is 7 days after receiving the paid item. Therefore, there will be no refund or return of the item after this period, unless there is a serious counterfeit claim.

• Buyers agree to file claims in accordance with the conditions, eligibility requirements and coverage limitations stated in each of our listings or item's descriptions.

• VTH Express Ltd reserves the right to suspend a buyer account and refuse to deal with the buyer's claim if we suspect a false, abusive or illegitimate claims, or transactions where may be been compensated by another third party.

9. Our Fees Table. VTH Express Ltd has various options for the Sellers to work with us on selling the items effectively and practically. These fees are most recently updated on our Website at www.vthexpress.com. Currently a listing fees of £5 per item and the commission fees is as follows,

10. Cancellation of Agreement. VTH Express Ltd reserves the right at its discretion to refuse any cancellation of this Terms and Conditions by the Seller or the Buyer, unless there is a reasonable, written notification is given to VTH Express Ltd in due time. In the event of any unreasonable cancellation, the Seller or Buyer must pay VTH Express Ltd an administration fee of £30.

11. Damage and Loss. If the Damage or Loss occurred in the case where VTH Express Ltd is handling the delivery and it is a mistake on our part, VTH Express will refund or send a replacement (applied to new item only) to the Buyer with free delivery cost. In the case where the Buyer had chosen an external carrier such as Royal Mail, DHL, etc. VTH Express will help to track the delivery progress. In any cases, when Damage or Loss occurred during delivery, the Buyer must report to us and the carrier immediately. We cannot issue a refund for any damaged product, or carriage charges for that product, if both of these report procedures have not been followed. We refund carriage costs only if the return is a result of our error.

12. Liability. In any cases, under any circumstances, VTH Express' liability is limited to the sale price of the relevant item. We are not responsible for any damaged or lost shipments unless clearly stated in our signed Agreement. So, please consider to take insurance for more valuable items.
